TACEngine Terms of Service

1. Agreement
These Terms of Service (“Terms”) are a binding agreement between Novapco Holdings LLC, a Wyoming limited liability company doing business as TACEngine (“TACEngine,” “Company,” “we,” “us,” or “our”), and the individual or entity registering for or using the Service (“Customer,” “you,” or “your”). Each is a “Party” and together the “Parties.”
You accept these Terms by creating an account, starting a free trial, clicking a box indicating acceptance, or otherwise accessing or using the Service. If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not access or use the Service.
Our Privacy Policy, as updated from time to time, is incorporated into and forms part of these Terms and describes how we collect, use, and protect information in connection with the Service.
2. Definitions
- “AI Features” means features of the Service that use machine-learning or generative-AI models to produce, analyze, cluster, or transform text or data, including topic discovery, search-intent analysis, content-cluster and SILO planning, AI-assisted content generation, and SEO analysis.
- “Authorized User” means an individual whom Customer permits to access the Service under Customer’s account.
- “Content” means any data, text, prompts, files, keywords, URLs, briefs, or other material that Customer or an Authorized User submits to, or generates using, the Service, including AI Outputs.
- “Free Trial” means the 15-day evaluation period described in Section 10.1.
- “Included Model” means the default Anthropic (Claude) model access that TACEngine provides as part of the Service, as described in Section 6.1.
- “Model Provider” means any third-party AI model provider (including Anthropic, OpenAI, Google, and any provider accessible through OpenRouter or a similar model-routing service) whose model Customer connects to or uses through the Service, whether using the Included Model or a Customer-Connected Model.
- “Customer-Connected Model” means any AI model that Customer connects to the Service using Customer’s own account and API key with a Model Provider, as described in Section 6.2.
- “Output” means any content generated by AI Features in response to Customer’s inputs, using either the Included Model or a Customer-Connected Model.
- “Service” means the TACEngine platform, including the web application, dashboards, and any associated APIs and integrations, made available at tacengine.com and described in the Documentation, together with the AI Features.
- “Subscription Plan” means the monthly or annual plan Customer selects and pays for as described in Section 10.
3. The Service
TACEngine is an AI-powered SEO and content platform that helps customers discover topics, analyze search intent, plan content clusters, generate content, and analyze SEO performance.
Subject to these Terms and Customer’s payment of applicable fees, TACEngine grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for Customer’s internal business purposes during the Subscription Plan period.
TACEngine may add, modify, or discontinue features of the Service over time. We do not commit to any specific uptime or service-level obligation unless separately agreed in writing.
4. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. To use the Service, you must register an account and provide accurate, current information. You are responsible for the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@tacengine.com if you suspect unauthorized use of your account.
If Customer is an agency or otherwise grants access to Authorized Users, Customer is responsible for those users’ compliance with these Terms.
5. Use Restrictions
You will not, and will not permit any Authorized User to:
(a) reverse-engineer, decompile, or attempt to derive the source code or underlying architecture of the Service;
(b) resell, sublicense, or commercially redistribute access to the Service to any third party, other than your own Authorized Users;
(c) use the Service to build a competing product or to train a competing AI model;
(d) scrape, crawl, or extract data from the Service using automated means beyond what the Service’s own features and documented APIs provide;
(e) use the Service to generate or distribute content that is unlawful, defamatory, infringing, fraudulent, or that exploits or endangers minors;
(f) attempt to circumvent usage limits, billing mechanisms, or technical controls on the Service;
(g) use the Service in a way that violates applicable law, including export-control and sanctions laws; or
(h) interfere with or disrupt the integrity or performance of the Service, including by introducing malware or attempting unauthorized access.
We may suspend an account that violates this Section, consistent with Section 11.
6. AI Features, Outputs, and Third-Party AI Models
6.1 Included Model
TACEngine is delivered with built-in access to Anthropic’s Claude models for AI Features, included in your Subscription Plan at no additional per-token cost from us. Your use of the Included Model is subject to Anthropic’s own usage policies as they apply to Service providers like TACEngine.
6.2 Bring-Your-Own Models
You may connect your own account and API key from a Model Provider of your choice — including Anthropic, OpenAI, Google (Gemini), or any model accessible through OpenRouter or a similar routing service — to use in place of, or alongside, the Included Model. TACEngine is not limited to these four options; any model reachable through a Model Provider’s API that you connect will work with the Service.
Your Subscription Plan pays for your use of TACEngine only. It does not include, and TACEngine does not bill, credit, or reimburse you for, any usage costs, tokens, or fees charged by a Model Provider for a Customer-Connected Model. You are solely responsible for obtaining, funding, and maintaining your own account and API key with any Model Provider you choose to connect.
6.3 No Responsibility for Customer-Connected Models
When you use a Customer-Connected Model, TACEngine acts solely as a technical pass-through, transmitting your inputs to, and returning outputs from, the Model Provider you selected. TACEngine does not control, and disclaims all responsibility for, the availability, pricing, accuracy, outputs, data-retention practices, or terms of service of any Customer-Connected Model or its Model Provider. Your use of a Customer-Connected Model is governed by your own agreement with that Model Provider, and you are responsible for ensuring your use of it complies with that Model Provider’s terms and policies. TACEngine is not a party to, and has no liability arising from, your relationship with any Model Provider you connect.
6.4 Nature of AI Outputs — No Guaranteed Results
AI Features are probabilistic and can produce Outputs that are inaccurate, incomplete, or unsuitable for publication as-is. You are solely responsible for reviewing, fact-checking, and editing any Output before publishing it or relying on it.
TACEngine does not guarantee search rankings, traffic, impressions, click-through rates, AI-answer citations, or any other SEO or content-performance outcome. Search engine and AI-platform ranking algorithms are outside our control and change without notice. Any estimate, projection, or score shown in the Service is directional only and is not a guarantee of results.
6.5 No Training on Your Content
TACEngine does not use your Content to train general-purpose AI models. We may use aggregated, de-identified usage data to operate, secure, and improve the Service, in a form that does not identify you or your Content.
7. Customer Content
As between the Parties, you own your Content, including Outputs generated for you. You grant TACEngine a limited, worldwide, non-exclusive, royalty-free license to host, process, and transmit your Content only as necessary to provide and support the Service, including passing it to the Included Model or a Customer-Connected Model at your direction.
You represent that you have the rights necessary to submit your Content to the Service and that your Content does not violate applicable law or infringe any third party’s rights.
8. Confidentiality
Each Party will protect the other’s non-public business, technical, or financial information disclosed in connection with the Service with the same care it uses for its own confidential information, and not less than reasonable care, and will not disclose it to third parties except to personnel or advisors who need it and are bound to confidentiality. This obligation does not apply to information that is public, already known, independently developed, or rightfully received from a third party.
9. Intellectual Property
The Service, including its software, features, branding, and documentation, is and remains the exclusive property of Novapco Holdings LLC and its licensors. TACEngine® and related marks are trademarks of Novapco Holdings LLC. Except for the limited rights expressly granted in Section 3, nothing in these Terms transfers any TACEngine intellectual property to you.
If you submit feedback or suggestions about the Service, we may use them without restriction or compensation to you.
10. Fees, Free Trial, and Payment
10.1 Free Trial and Auto-Renewal
TACEngine offers a 15-day free trial. A valid credit card is required to start your trial. UNLESS YOU CANCEL BEFORE THE END OF YOUR 15-DAY TRIAL, YOUR CARD WILL BE AUTOMATICALLY CHARGED FOR YOUR SELECTED SUBSCRIPTION PLAN, AND YOUR SUBSCRIPTION WILL BEGIN AND CONTINUE UNTIL YOU CANCEL. You can cancel at any time before the trial ends from your account settings page or by emailing legal@tacengine.com, with no charge.
10.2 Subscription Plans and Billing
TACEngine is sold on self-serve monthly and annual Subscription Plans. Your Subscription Plan fee covers use of the TACEngine platform only — see Section 6.2 for Model Provider costs, which are separate and billed to you directly by your chosen Model Provider.
Monthly plans are billed in advance each month; annual plans are billed in advance for the year. Your Subscription Plan automatically renews for a successive period of the same length unless you cancel before the renewal date. You can cancel anytime from your account settings, effective at the end of your then-current billing period.
10.3 No Refunds
All fees are non-refundable, including partial months or years, except where required by applicable law. Canceling stops future billing but does not refund amounts already charged.
10.4 Fee Changes
We may change Subscription Plan pricing for future billing periods. We will give you at least 30 days’ notice of a price increase before it applies to your account. Continuing to use the Service after a price change takes effect means you accept the new price.
10.5 Taxes
Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes associated with your purchase, other than taxes on our net income.
11. Suspension
We may suspend your access to the Service if (a) payment fails and is not cured within 10 days of notice, (b) you violate Section 5 (Use Restrictions), or (c) your use poses a security or legal risk to the Service or other customers. We will make reasonable efforts to notify you before suspension, except where immediate suspension is necessary to protect the Service.
12. Term and Termination
These Terms remain in effect while you maintain an account or active Subscription Plan. Either Party may terminate for convenience by canceling the Subscription Plan as described in Section 10. We may terminate immediately for a material breach of these Terms that you do not cure within 30 days of notice, or immediately for violations of Section 5.
Upon termination, your right to access the Service ends, and any unpaid fees become due. We will make your Content available for export for 30 days after termination through the Service’s account tools, after which it may be deleted.
Sections 6.3, 6.4, 8, 9, 13, 14, 15, 16, and 17 survive termination.
13. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. We do not warrant that the Service will be uninterrupted or error-free, or that any Output, ranking estimate, or SEO recommendation will produce any particular result. We are not responsible for the availability, performance, or output of any Model Provider, including the Included Model or any Customer-Connected Model.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
14. Indemnification
By You. You will defend and indemnify TACEngine and its officers, employees, and agents against any third-party claim arising from (a) your Content, including Outputs you publish or distribute, (b) your breach of these Terms, (c) your use of a Customer-Connected Model or your relationship with a Model Provider, or (d) your violation of applicable law.
By Us. We will defend and indemnify you against any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes a U.S. copyright, patent, or trademark, and will pay damages finally awarded against you or agreed in settlement, except where the claim arises from your Content, a Customer-Connected Model, or your modification or misuse of the Service.
The indemnified Party must give prompt notice, allow the indemnifying Party to control the defense, and provide reasonable cooperation.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID TO TACENGINE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to your payment obligations, your indemnification obligations under Section 14, or liability that cannot be limited by law.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and each Party consents to personal jurisdiction there.
17. General
Notices. Notices to us must be sent to legal@tacengine.com, with a copy to Novapco Holdings LLC, 30 N Gould St Ste N, Sheridan, WY 82801. Notices to you will be sent to the email on file with your account.
Modifications. We may update these Terms by posting a revised version with a new “Last Updated” date. For material changes, we will provide at least 30 days’ notice by email or in-product notice. Continued use of the Service after changes take effect means you accept them.
Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. Neither Party is liable for delay or failure caused by events beyond its reasonable control.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Novapco Holdings LLC regarding the Service and supersede any prior agreements on this subject.
